Acceptance of Terms

These Terms of Service govern access to and use of the websites, applications, APIs, software platforms, integrations, and services provided by EverythingCloud Technologies Inc. (EverythingCloud, "we", "our", or "us") (collectively, the "Services").

By accessing, using, registering for, purchasing, or otherwise interacting with the Services, you agree to be bound by these Terms and all applicable laws and regulations.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Services

EverythingCloud provides enterprise cloud cost optimization, FinOps analytics, governance, monitoring, and operational management solutions for cloud environments including Microsoft Azure, Amazon Web Services (AWS), and Google Cloud Platform (GCP).

The Services may include:

  • Cloud cost analytics and reporting
  • Optimization recommendations
  • Resource inventory and governance insights
  • Monitoring and alerting
  • API integrations
  • Administrative dashboards
  • Enterprise reporting and analytics
  • Related support and onboarding services

We may update, improve, modify, or discontinue portions of the Services from time to time.

Account Registration and Security

Users may be required to create accounts to access portions of the Services.

You are responsible for:

  • Maintaining the confidentiality of account credentials
  • Managing authorized users within your organization
  • Ensuring all account activity complies with these Terms
  • Promptly notifying EverythingCloud of any unauthorized access or security incident

EverythingCloud may require multi-factor authentication (MFA) and other security measures as part of the Services.

Customer Responsibilities

You agree to:

  • Use the Services only for lawful business purposes
  • Maintain all necessary rights and permissions to connect cloud environments and third-party services
  • Ensure that your use of the Services complies with applicable laws and regulations
  • Configure appropriate administrative and access controls within your environment

You are solely responsible for:

  • The accuracy of data submitted to the Services
  • User permissions granted within your cloud environments
  • Maintaining your own backup, business continuity, and disaster recovery procedures where applicable

Acceptable Use Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to violate applicable laws or third-party rights
  • Attempt unauthorized access to systems, accounts, or networks
  • Use the Services to transmit malicious code or conduct security attacks
  • Access the Services for the purpose of building a competing product or service

EverythingCloud may suspend or terminate access for violations of these Terms or activities that threaten the security, integrity, or availability of the Services.

Third-Party Services and Cloud Providers

The Services may integrate with or depend upon third-party services and cloud providers, including:

  • Microsoft Azure
  • Microsoft Entra ID (Azure AD)
  • Microsoft Graph APIs
  • Amazon Web Services (AWS)
  • Google Cloud Platform (GCP)

Customer-authorized API access may be required for certain functionality.

EverythingCloud is not responsible for:

  • Third-party platform availability
  • Cloud provider outages
  • Third-party security incidents
  • Changes made by external providers
  • Charges incurred through customer cloud providers

Use of third-party services is subject to their respective terms and policies.

Customer Data

Ownership

Customers retain ownership of all customer data submitted to or processed through the Services.

EverythingCloud does not claim ownership of customer cloud data, billing data, resource metadata, or customer-generated content.

License to Process Data

Customers grant EverythingCloud a limited right to process customer data solely for the purpose of:

  • Providing the Services
  • Maintaining platform functionality
  • Delivering analytics and optimization insights
  • Supporting security, monitoring, and operational requirements

Aggregated and Anonymized Data

EverythingCloud may generate aggregated, anonymized, or de-identified statistical data for operational, security, benchmarking, product improvement, or analytical purposes, provided such information cannot reasonably identify a customer or individual.

Privacy and Security

Use of the Services is subject to our Privacy Policy.

EverythingCloud maintains administrative, technical, and organizational safeguards designed to protect customer data and platform security, including:

  • Encryption in transit
  • Access controls
  • Security monitoring
  • Vulnerability management
  • Logging and alerting
  • Disaster recovery procedures

EverythingCloud maintains SOC 2 Type II compliance for applicable systems and operational controls.

Subscription, Billing, and Payment

Certain Services require payment of subscription fees or other charges.

Unless otherwise agreed in writing:

  • Fees are non-refundable
  • Subscriptions automatically renew for successive terms
  • Customers are responsible for all applicable taxes
  • Failure to pay may result in suspension or termination of Services

Pricing, billing frequency, and subscription terms may be described in order forms, invoices, marketplace listings, or separate agreements.

Service Availability

EverythingCloud uses commercially reasonable efforts to maintain Service availability and reliability.

However, the Services are provided on an "as available" basis and may experience interruptions resulting from:

  • Scheduled maintenance
  • Security events
  • Cloud provider outages
  • Internet failures
  • Infrastructure failures
  • Force majeure events

EverythingCloud does not guarantee uninterrupted or error-free operation unless expressly stated in a separate written agreement.

Confidentiality

Each party agrees to protect confidential information disclosed by the other party using reasonable care and not to disclose such information to unauthorized third parties except:

  • As required by law
  • To authorized employees, contractors, or advisors with a legitimate business need
  • As necessary to provide the Services

Confidential information does not include information that:

  • Is publicly available
  • Was independently developed
  • Was lawfully obtained from another source
  • Is disclosed with written authorization

Intellectual Property

EverythingCloud and its licensors retain all rights, title, and interest in and to:

  • The Services
  • Software and technology
  • APIs
  • Documentation
  • Trademarks
  • Branding
  • Platform functionality
  • Derivative works and improvements

No rights are granted except as expressly stated in these Terms.

Termination

Either party may terminate use of the Services in accordance with applicable subscription or contractual terms.

EverythingCloud may suspend or terminate access:

  • For violation of these Terms
  • To protect security or platform integrity
  • To comply with legal obligations
  • For non-payment

Upon termination:

  • Access to the Services may be disabled
  • Customer data may be deleted in accordance with retention policies
  • Outstanding payment obligations remain due

Disclaimers

EverythingCloud does not guarantee:

  • Cost savings outcomes
  • Regulatory compliance outcomes
  • Availability of third-party cloud services
  • Accuracy of third-party data sources

Limitation of Liability

In no event shall EverythingCloud's total liability arising out of or related to the Services exceed the amounts paid by Customer to EverythingCloud during the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless EverythingCloud and its affiliates, employees, officers, directors, and partners from claims, damages, liabilities, losses, and expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of applicable laws
  • Infringement of third-party rights
  • Misuse of cloud integrations or credentials

Export Compliance and Sanctions

You may not use the Services in violation of applicable export control, sanctions, or trade laws.

You represent that you are not located in, controlled by, or acting on behalf of any restricted or sanctioned jurisdiction or party.

Governing Law

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.

Changes to These Terms

EverythingCloud may update these Terms periodically.

Updated Terms become effective upon posting. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
