EverythingCloud Terms of Use & End User Agreement

This End User Agreement ("Agreement") governs your access to and use of EverythingCloud ("the Service"), operated by EverythingCloud Inc. ("EverythingCloud", "we", "us", or "our").

By creating an account, clicking "I Agree," or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree, you must not access or use the Service.


1. Acceptance of Terms

By registering for, accessing, or using the Service, you:

  • Accept this Agreement and all referenced policies;
  • Represent that you are of legal age and have authority to bind yourself or your organization; and
  • Agree that these terms apply to all versions, branded, or white-labeled instances of the Service.

2. Modifications

This Agreement, as modified from time to time, governs your use of the Service.

We may update or revise this Agreement at our discretion, and any modifications become effective upon posting on our website.

Your continued use of the Service after such modifications constitutes your acceptance of the updated Agreement.

It is your responsibility to review the current version regularly.


3. Access and Account Responsibility

You must maintain the confidentiality of your login credentials and are fully responsible for all actions taken through your account.

You are responsible for ensuring that all account users under your organization are authorized and comply with this Agreement.

You are solely responsible for any configuration, modification, or automation performed through the Service, including but not limited to:

  • Editing JSON or configuration files,
  • Adjusting resource permissions,
  • Detaching schedules or automations,
  • Stopping, deleting, or modifying cloud assets.

EverythingCloud is not responsible or liable for any loss, downtime, or damage resulting from your use, misconfiguration, or any automated action initiated via the platform.


4. Service Scope and Limitations

The Service provides tools and insights to help manage and optimize cloud resources. You acknowledge and agree that:

  • The Service analyzes and reports based on the data provided by third-party cloud APIs and integrations.
  • While we strive for accuracy, data and recommendations may contain errors, delays, or inaccuracies due to third-party changes, API limits, or user misconfigurations.
  • The Service does not guarantee the accuracy, completeness, or suitability of any cost savings, recommendations, or analytics output.
  • You are responsible for validating results before making operational or financial decisions.
  • EverythingCloud is not responsible for any decisions, financial losses, or operational impacts arising from reliance on data or suggestions generated by the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or fraudulent purposes;
  • Access or modify other users' data without authorization;
  • Reverse-engineer, decompile, copy, or resell the Service;
  • Circumvent security or usage limits;
  • Interfere with system performance or infrastructure.

We may suspend or terminate your access if we detect misuse, abuse, or violations of this Agreement.


6. Intellectual Property

All software, documentation, content, and materials made available through the Service are owned by EverythingCloud or its licensors.

You receive a non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

You may not reproduce, distribute, modify, or create derivative works without prior written consent.


7. Third-Party Services

The Service may integrate with third-party platforms, including cloud providers, billing systems, or monitoring tools. EverythingCloud does not control or guarantee any third-party service and disclaims responsibility for their performance, data accuracy, or security practices.

Your use of any third-party service is subject to that provider's terms and conditions.


8. Subscription, Billing, and Payment

Subscription fees, billing intervals, and taxes are displayed prior to purchase.

All fees are non-refundable unless otherwise stated in writing.

You are responsible for maintaining valid payment methods.

Failure to pay may result in suspension or termination of Service access.


9. Service Availability and Support

We strive for high availability but do not guarantee uninterrupted or error-free service. Scheduled maintenance or third-party disruptions may temporarily affect availability.

Support is provided based on your plan level and may vary in scope or response time.


10. Disclaimer of Warranties

The Service is provided "as is" and "as available".

EverythingCloud makes no warranties, express or implied, including but not limited to:

  • Accuracy, reliability, or completeness of outputs or data;
  • Fitness for a particular purpose;
  • Continuous availability or error-free performance.

No advice or information obtained through the Service creates any warranty not expressly stated herein.


11. Limitation of Liability

To the maximum extent permitted by law:

  • EverythingCloud, its officers, employees, and partners shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
  • Our aggregate liability under this Agreement shall not exceed the total amount paid by you for the Service during the three (3) months preceding the event giving rise to the claim.
  • You acknowledge that you assume full responsibility for any actions or outcomes resulting from your use of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless EverythingCloud, its affiliates, officers, and employees from any claims, damages, or expenses arising from:

  • Your use or misuse of the Service;
  • Your breach of this Agreement; or
  • Any actions taken through your account.

13. Termination

We may suspend or terminate your account immediately if:

  • You violate this Agreement;
  • Required by law or regulatory order;
  • The Service is discontinued.

Upon termination, your right to access the Service ceases immediately.

Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.


14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of law principles.

Any disputes shall be exclusively resolved in the courts of Alberta, Canada.


15. Miscellaneous

  • Entire Agreement: This document constitutes the entire agreement between you and EverythingCloud.
  • Severability: If any provision is held invalid, the remainder remains enforceable.
  • No Waiver: Failure to enforce a provision does not waive our rights.
  • Assignment: You may not assign rights or obligations without our written consent.
